Update:  March 24th 2009... Finally got my exaust fixed after it being in the shop for 2 days... Thought I had a bad Catalytic Converter, replaced with FlowMonster High Flow Cat... didn't fix it...mechanic thought it was a bad resonator...chopped it out and straight piped it...even worse!
So the only other thing was to replace the flex coil and down pipe..while replacing those we reinstalled the resonator cause it sounded like a honda...oh NO cant have that sound....this is GM Baby!!! Theres the problem...a welded piece about 2" in diameter formerly attached inside the flex pipe to the flange...why it was there...no clue...looked more like a mistake in the making, cause anytime the motor would have moved..the flex piece would have been hitting on it.  So got a new flex coild and down pipe...new flex is all a braided coil and no more troubles!!!

TigerKiger's 1999 Pontiac Grand Amhard to see...but insed nearest the bottom is the 2" piece of metal sitting inside that broke loose from the upper inside of flange.
